These Terms of Service govern your use of Tell Me When (the “Service”), provided by Value Inc. (“we,” “us,” or “our”). By using the Service, you agree to these Terms.
Eligibility and registration
These Terms apply to every relationship between you and us concerning the Service. You must provide accurate information and manage your account through Google sign-in or your email address and password. If you are under 18, you may use the Service only with consent from a parent or legal guardian.
Account security
Keep your sign-in email, devices, and authentication information secure. You may not transfer or lend your account. Contact us promptly if you suspect unauthorized use.
How the Service works
The Service retrieves the single public URL you register at the selected interval, compares the readable content with the previous baseline, uses AI to judge the natural-language condition you supplied, and sends alerts. It does not crawl an entire website or linked pages. Content retrieved by the required pre-registration check becomes the first baseline and does not trigger an alert. Frequencies are targets, not guarantees of an exact check time.
Monitored pages and your responsibility
Register only public pages that can be viewed without signing in and that you are authorized to monitor. Standard loading reads the initial HTML; when a supported plan uses browser loading, the Service reads content after JavaScript runs. Page structure, access restrictions, site changes, or other circumstances may prevent some or all content from being retrieved. You are responsible for complying with the target site’s terms, robots.txt, intellectual-property rights, privacy laws, and other applicable law. Pages requiring authentication or restricted access are not supported.
Prohibited conduct
You must not use the Service for unlawful activity; infringement; bypassing authentication or technical restrictions; access to private or internal networks; excessive load; fraudulent registration; abusive notifications; unauthorized monitoring of confidential or personal information; reverse engineering, interference, or resale; benefit to organized crime; or other conduct we reasonably determine to be inappropriate.
Plans and payment
Free costs US$0. Once sales open, Plus is planned at US$5 and Pro at US$29 per month, with displayed prices including tax. A paid plan begins only when you expressly accept the displayed terms and subscribe through Stripe. It renews monthly based on the subscription date (or month-end where that date does not exist). Any exchange-rate or international-transaction fee charged by your card issuer is your responsibility.
Cancellation, plan changes, and refunds
You may cancel a paid plan at any time and retain access through the end of the current billing period. Deleting your account also ends any paid subscription immediately, and you lose access to the Service for the remainder of that billing period. Except where required by law, fees already paid are not prorated or refunded. An upgrade takes effect after payment; a downgrade takes effect at the end of the current billing period. Existing data above a lower plan’s limits is not immediately deleted, but new creation or configuration changes may be restricted.
Content you provide
You represent that you have the rights needed for every URL, condition, endpoint, and other item you provide. You grant us the limited right to retrieve, store, process, and transmit that information to service providers as needed to provide, maintain, and secure the Service. Ownership does not transfer to us.
Alerts, AI, and integrations
Page retrieval, diff detection, AI decisions, email, Web Push, Discord, Slack, webhook delivery, and MCP integrations are provided on a best-effort basis and do not guarantee accuracy, completeness, immediacy, or delivery. Alerts may be missed for changes that appear and revert between checks, unreadable content, changes filtered as insignificant, or changes AI judges not to match. Email is mandatory; other channels are optional. You are responsible for the configuration, permissions, terms, and downstream actions of third-party integrations.
Not for high-stakes use
Do not use the Service as the sole source for emergencies, health or safety, disaster alerts, legal deadlines, medical decisions, financial trading, security monitoring, or any use where a delayed or incorrect alert could cause serious harm.
Intellectual property
The Service, interface, software, name, logo, and materials supplied by us belong to us or their licensors. These Terms grant only the limited rights necessary to use the Service.
Changes and suspension
We may change or suspend all or part of the Service without prior notice for maintenance, failures, provider outages, legal or security needs, force majeure, or similar reasons. If we permanently discontinue the Service, we will provide reasonable notice unless an urgent circumstance prevents it.
Restriction and termination
We may restrict, suspend, or delete watches, integrations, or accounts without prior notice for breach, abuse, nonpayment, or risk to safe operation. You may delete watches at any time and delete your account from Settings after email verification. Once deletion begins, watches and integrations stop and you can no longer sign in. If communication with an external provider fails, we keep the account disabled and retry safely. We may retain records where required for law, payment, or dispute handling.
Disclaimers
We do not warrant uninterrupted availability, successful retrieval of every page, delivery of every alert, accuracy of AI decisions, fitness for a particular purpose, or continuity of third-party services. This disclaimer does not exclude warranties that cannot legally be excluded.
Limitation of liability
Except for our willful misconduct or gross negligence, or where liability cannot legally be limited, our liability is limited to ordinary direct damages and in aggregate to the fees you paid us in the three months before the event. Free use remains subject to any mandatory consumer-protection law.
Organized crime exclusion
You and we each represent that we are not involved with organized crime and will not make violent demands, threats, reputational attacks, or business interference. A breach permits immediate termination.
Changes to these Terms
We may change these Terms as permitted by law. For material changes, we will normally give notice in the Service or by registered email at least 45 days before the effective date, describing the change and date. Urgent legal or security changes may take effect sooner.
Governing law and jurisdiction
These Terms are governed by the laws of Japan. To the extent permitted by law, the Tokyo District Court has exclusive jurisdiction as the court of first instance over disputes relating to the Service.
